This document is provided for transparency about how we operate the platform. It is not a substitute for legal advice. Programme organisations may also be covered by a separate written agreement.
1. Agreement to These Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Basecamp Platform (“Basecamp”, “we”, “us”, or “our”) governing access to and use of the Basecamp participant readiness platform, including the website at https://basecampportal.com, related applications, content, and communications (collectively, the “Service”).
By creating an account, accepting an invitation, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a university, school, company, or other Programme Organisation, you represent that you have authority to bind that organisation to these Terms, and “you” includes that organisation.
Additional terms may apply under a separate written pilot agreement, order form, or data processing addendum with a Programme Organisation. In the event of a conflict between these Terms and a signed institutional agreement, the signed agreement controls for the parties to that agreement.
Standard plan subscriptions are billed annually through Stripe. Programme Organisations may view invoices and payment methods in the Service’s billing settings. Enterprise and complimentary access may be granted under a separate order form or partner arrangement rather than a self-serve Stripe subscription.
2. Eligibility and Accounts
The Service is intended for authorised use by Programme Organisations and individuals they invite (participants, programme leaders, and related staff). You must provide accurate account information and keep credentials confidential.
Participant access is typically by institutional invitation. You may not share login credentials or allow unauthorised persons to access the Service through your account. You are responsible for activity under your account, except where caused by our breach of these Terms.
We may refuse registration, suspend, or terminate accounts that violate these Terms, pose a security risk, or are no longer authorised by the relevant Programme Organisation.
3. Description of the Service
Basecamp provides tools to support pre-departure readiness, programme compliance workflows, learning modules, quizzes, declarations, reflections, documentation, and related programme-administration features. Features available to a given user depend on role, programme configuration, and entitlements purchased or enabled for the Programme Organisation.
We may modify, add, or remove features, provided that material reductions to paid contractual entitlements for an institutional customer will be handled as set out in the applicable commercial agreement (if any).
4. Licence to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for lawful programme participation or programme administration purposes.
Except as expressly permitted, you may not:
- Copy, modify, distribute, sell, lease, or sublicense the Service or any substantial part of it.
- Reverse engineer, decompile, or attempt to extract source code, except to the extent such restriction is prohibited by applicable law.
- Bypass, disable, or interfere with security, rate limits, access controls, or usage restrictions.
- Use the Service to build a competing product by systematically extracting non-public features, content, or data.
- Use automated means to access the Service in a manner that burdens infrastructure unreasonably, other than documented APIs we explicitly provide.
- Upload malware or engage in fraudulent, harassing, or unlawful activity.
5. Acceptable Use
You agree to use the Service in accordance with applicable law, your Programme Organisation’s policies, and these Terms. Without limiting the foregoing, you must not:
- Submit false, misleading, or incomplete information where accuracy is required for readiness, safety, or compliance.
- Impersonate another person or misrepresent your affiliation.
- Access data belonging to other participants or organisations except as authorised by your role.
- Use wellbeing, safeguarding, medical, or emergency-contact information for purposes other than legitimate programme administration.
- Interfere with the rights, safety, or privacy of others.
6. Content, Course Materials, and User Submissions
Programme content, branding, documentation, software, and other materials made available through the Service (“Basecamp Materials”) are owned by Basecamp Platform or its licensors and are protected by intellectual property laws. Except for the limited licence above, no rights are granted.
You retain ownership of content you submit (for example reflections, form answers, and uploaded documents) (“User Content”), subject to rights you grant us and your Programme Organisation. You grant Basecamp Platform a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and otherwise use User Content solely as needed to provide, secure, and improve the Service and to comply with law.
Programme Organisations may have additional rights to User Content under institutional policy or their agreements with participants. You represent that you have all rights necessary to submit User Content and that such Content does not infringe third-party rights or applicable law.
7. Programme Organisation Responsibilities
Programme Organisations are responsible for:
- Determining whether the Service is suitable for their programmes and obtaining any internal approvals.
- Managing invitations, roles, and access for their users, and revoking access when no longer needed.
- Providing participants with programme-specific instructions, notices, and any consents required under applicable law or institutional policy—including notices about health, safeguarding, and international programmes.
- Configuring modules, deadlines, notification settings, and forms consistent with their duty of care and legal obligations.
- Responding to participant privacy requests and safeguarding concerns in accordance with their policies.
- Complying with export, education, privacy, and employment laws that apply to them.
8. Participant and End-User Responsibilities
Participants and other end users agree to:
- Complete assigned modules, quizzes, reflections, and declarations honestly and by required deadlines, unless alternative arrangements are approved by the Programme Organisation.
- Keep personal, medical, emergency contact, and travel information reasonably current when requested.
- Treat electronic signature fields (for example typed name attestations) as legally significant acknowledgements of the statements presented.
- Raise wellbeing or safety concerns through channels designated by the Programme Organisation in addition to any in-product prompts.
9. Electronic Signatures and Declarations
Certain modules require electronic acknowledgements or signatures. By typing your name or otherwise completing a signature field, you agree that the action constitutes your electronic signature and has the same effect as a handwritten signature to the maximum extent permitted by applicable law.
You agree not to dispute the validity of electronic signatures solely on the basis that they are electronic.
10. Safeguarding, Wellbeing, and Emergency Situations
The Service may include tools that assist Programme Organisations with safeguarding awareness, code-of-conduct declarations, wellbeing check-ins, and operational visibility. These tools are aids for institutional programme management.
Basecamp Platform does not provide medical, psychological, legal, or emergency response services. The Service does not replace on-the-ground supervision, local emergency services, clinical care, or a Programme Organisation’s duty of care.
In an emergency, contact local emergency services and your programme’s designated emergency contacts. Do not rely solely on the Service for time-critical safety communication.
Wellbeing alerts and severity indicators (where enabled) are operational signals based on user responses and configuration; they are not clinical diagnoses.
11. Privacy
Our collection and use of personal data is described in our Privacy Policy, available at https://basecampportal.com/privacy. By using the Service, you acknowledge that Privacy Policy. Institutional customers may have additional data processing terms.
12. Third-Party Services and Embedded Content
The Service may link to or embed third-party content (for example video hosts). We do not control third-party services and are not responsible for their content, availability, or privacy practices. Your use of third-party services is at your own risk and may be subject to third-party terms.
13. Availability and Changes
We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation. Maintenance, outages, force majeure events, and dependencies on third-party infrastructure may affect availability.
We may suspend access to protect the Service, users, or third parties, or if required by law.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that the Service will meet your requirements, achieve any particular educational or compliance outcome, or be free of harmful components. Programme Organisations remain responsible for their legal and educational obligations.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASECAMP PLATFORM AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY THE RELEVANT PROGRAMME ORGANISATION TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100) OR LOCAL CURRENCY EQUIVALENT IF NO SUCH FEES WERE PAID.
Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including death or personal injury caused by negligence where such exclusion is prohibited).
16. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Basecamp Platform and its personnel from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your misuse of the Service; (c) your violation of these Terms or applicable law; or (d) for Programme Organisations, claims by end users arising from the Organisation’s use of the Service, except to the extent caused by our wilful misconduct or material breach of a signed agreement.
17. Suspension, Termination, and Account End
We may suspend or terminate access immediately if you breach these Terms, if required by a Programme Organisation that controls your invitation, or for security or legal reasons.
You may stop using the Service at any time. Programme Organisations may request deprovisioning of users in accordance with their agreements with us.
Upon termination, the licence to use the Service ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
18. Governing Law and Disputes
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws, except where mandatory consumer or data-protection rules of another jurisdiction apply and cannot be waived.
Subject to any mandatory requirements of applicable law, the courts of Hong Kong shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless a signed institutional agreement provides a different dispute resolution mechanism.
Before filing a formal claim, the parties will attempt in good faith to resolve the dispute informally by contacting legal@basecampportal.com.
19. General
These Terms constitute the entire agreement between you and us regarding the Service, except for any signed institutional agreement and policies expressly incorporated by reference (including the Privacy Policy).
If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
We may update these Terms by posting a revised version on the Service and updating the effective date. Material changes may also be communicated by email or in-product notice where appropriate. Continued use after the effective date constitutes acceptance, except where applicable law requires otherwise.
